Welcome to Vouch. These Terms of Service ("Terms") govern your access to and use of the website located at vouch.so and any related pages, subdomains, or marketing materials operated by Vouch Commerce, Inc., a Delaware corporation ("Vouch," "we," "us," or "our") (collectively, the "Site").


Please read these Terms carefully. By accessing or using the Site, joining our waitlist, or otherwise interacting with us through the Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site.


These Terms govern your use of the public-facing Site only. Access to and use of the Vouch platform, application, merchant dashboard, or any service that enables transactions between merchants and creators (collectively, the "Vouch Platform") is governed by a separate agreement that will be presented to you at the time of signup or installation. Nothing in these Terms grants you any right to use the Vouch Platform.

1. About Vouch

Vouch operates a commerce technology that enables a "pay with a post" payment mechanic at participating Shopify merchant checkouts. Eligible creators and influencers can complete a purchase by committing to produce qualifying social media content in lieu of traditional payment. The Vouch Platform is currently available in a limited beta to selected merchants and creator testers. The Site provides information about Vouch and allows visitors to join a waitlist for future access.


Information presented on the Site is for general informational purposes only. Features, pricing, availability, and product descriptions may change at any time without notice, and nothing on the Site constitutes a binding offer, guarantee of access, or promise of future functionality.

2. Eligibility

To use the Site or join our waitlist, you must be at least 18 years old and able to form a binding contract under applicable law. If you are using the Site on behalf of a company or other entity, you represent that you have the authority to bind that entity to these Terms, and "you" refers to both you individually and that entity.


The Site is operated from the United States. We make no representation that the Site is appropriate or available in any particular location, and you are responsible for compliance with local laws.

3. Waitlist Signups

You may join our waitlist by submitting the requested information through the Site. Waitlist signups currently collect your full name, company, email address, and optionally your phone number. Information submitted is handled in accordance with our Privacy Policy.


By joining the waitlist, you:


  • Represent that the information you provide is accurate and that you are submitting it on your own behalf or with proper authority;

  • Consent to receive communications from us about Vouch, including product updates, beta access opportunities, and marketing emails (you can unsubscribe at any time using the link in any email);

  • If you provided a phone number, consent to occasional product-related calls or text messages from us at that number (message and data rates may apply, and you can opt out at any time by replying STOP);

  • Acknowledge that joining the waitlist does not entitle you to access the Vouch Platform, guarantee a future invitation, or create any obligation on Vouch to provide products or services to you.


We may remove you from the waitlist or decline to grant Platform access at our sole discretion, for any reason or no reason.

4. Acceptable Use

When using the Site, you agree not to:


  • Use the Site for any unlawful purpose or in violation of any applicable law or regulation;

  • Submit false, misleading, or fraudulent information, including impersonating any person or entity;

  • Attempt to gain unauthorized access to the Site, any related systems, or any account or data;

  • Interfere with, disrupt, overload, or attempt to disable the Site, including via denial-of-service attacks, bots, or automated scraping;

  • Reverse engineer, decompile, or attempt to extract source code from the Site;

  • Use any data mining, robots, scrapers, or similar tools to collect or extract content or data from the Site, except for publicly available search engine indexing;

  • Upload or transmit viruses, malware, or other harmful code;

  • Use the Site to harass, threaten, defame, or harm any person;

  • Use the Site to promote or facilitate any illegal activity, infringement of intellectual property, or violation of third-party rights;

  • Frame, mirror, or otherwise replicate the Site or its content without our express written consent.


We may investigate suspected violations and take any action we consider appropriate, including blocking access, removing content, or pursuing legal remedies.

5. Intellectual Property

The Site and all of its content, including text, graphics, logos, designs, images, software, and the "Vouch" name and trademarks, are owned by Vouch or our licensors and are protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for your personal, non-commercial informational use. All other rights are reserved.


You may not copy, modify, distribute, sell, lease, or create derivative works based on the Site or its content without our prior written permission, except that you may share publicly accessible links to pages on the Site.


Proprietary frameworks, white papers, or written materials published on the Site are © Vouch Commerce, Inc. and may be quoted briefly with attribution under standard fair use principles.

6. Feedback

If you send us suggestions, ideas, feedback, or other input about Vouch or the Site ("Feedback"), you grant us a worldwide, perpetual, irrevocable, royalty-free license to use, modify, and exploit that Feedback for any purpose, without compensation or attribution to you. You represent that you have the right to grant this license and that the Feedback is not subject to any confidentiality obligation.

7. Third-Party Links and Services

The Site may contain links to third-party websites, services, or resources, including but not limited to Shopify, social media platforms, press coverage, and partner sites. These links are provided for convenience only. We do not endorse, control, or assume responsibility for any third-party content, products, services, or practices, including their privacy policies. Your interactions with any third party are solely between you and that third party.

8. Beta Status and "AS IS" Disclaimer

The Vouch Platform is in active development and currently available only to selected beta participants. Features described on the Site may change, may not function as described, or may be discontinued.


THE SITE AND ANY CONTENT, MATERIALS, OR INFORMATION PROVIDED THROUGH IT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, VOUCH DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS, OR THAT INFORMATION ON THE SITE IS ACCURATE, COMPLETE, OR CURRENT.


Some jurisdictions do not allow the exclusion of certain warranties, so the above exclusions may not apply to you in full.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, VOUCH, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, INVESTORS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).


These limitations apply regardless of the legal theory (contract, tort, statute, or otherwise) and even if any remedy fails of its essential purpose. Some jurisdictions do not allow the limitation of certain damages, so the above limitations may not apply to you in full.

10. Indemnification

You agree to defend, indemnify, and hold harmless Vouch and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any law or the rights of any third party; or (d) any information or content you submit through the Site.

11. Dispute Resolution; Arbitration; Class Action Waiver

Please read this section carefully. It affects your legal rights.


11.1 Informal Resolution


Before filing any formal claim, you agree to first try to resolve the dispute informally by sending a written notice to support@vouch.so describing the dispute and the relief you seek. We will attempt in good faith to resolve the dispute within 30 days of receiving your notice. If we cannot, either party may proceed to formal arbitration.


11.2 Binding Arbitration


Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site that is not resolved informally will be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures, rather than in court. The arbitration will be conducted in English, and the seat of arbitration will be Wilmington, Delaware, unless the parties agree otherwise or applicable law requires a different location. Judgment on the award may be entered in any court of competent jurisdiction.


11.3 Class Action Waiver


YOU AND VOUCH AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.


11.4 Exceptions


Either party may bring an individual action in small claims court for disputes within its jurisdiction. Either party may also seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights.


11.5 Opt-Out


You may opt out of the arbitration agreement and class action waiver by sending written notice to support@vouch.so within 30 days of first agreeing to these Terms. Your notice must include your name, email address, and a clear statement that you wish to opt out. Opting out will not affect any other portion of these Terms.

12. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. For any matter not subject to arbitration, you and Vouch agree to the exclusive jurisdiction and venue of the state and federal courts located in Wilmington, Delaware.

13. Changes to the Site and to These Terms

We may modify, suspend, or discontinue the Site or any part of it at any time, with or without notice. We are not liable to you or any third party for any such change.

We may also update these Terms from time to time. If we make material changes, we will update the "Last updated" date at the top and, where appropriate, provide additional notice (such as an email to waitlist subscribers). Your continued use of the Site after changes take effect constitutes your acceptance of the updated Terms.

14. Termination

We may suspend or terminate your access to the Site at any time, for any reason or no reason, including for violation of these Terms. You may stop using the Site at any time. Sections 5 (Intellectual Property), 6 (Feedback), 8 (Disclaimer), 9 (Limitation of Liability), 10 (Indemnification), 11 (Dispute Resolution), 12 (Governing Law), and 15 (General) will survive termination.

15. General

Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Vouch regarding the Site and supersede any prior agreements on the subject.


Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it enforceable.


No Waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.


Assignment. You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, financing, or sale of assets.


No Agency. Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Vouch.


Notices. We may send notices to you by email (to the address you provided) or by posting on the Site. You may send notices to us at support@vouch.so.


Headings. Section headings are for convenience only and have no legal effect.
